1. Acceptance of Terms
By accessing or using ShareDoc's services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services.
2. Description of Service
ShareDoc provides a cloud-based document sharing and tracking platform ("Service") that enables users to:
- Upload, store, and securely share documents, presentations, PDFs, and other files
- Track document engagement with real-time analytics, heatmaps, and viewer insights
- Control access with passwords, expiration dates, email verification, and permission settings
- Apply dynamic watermarking with recipient information
- Create data rooms for organized document collections
- Integrate with third-party applications (Slack, Salesforce, CRM systems, etc.)
- Customize branding with white-label options and custom domains
- Optionally connect your own storage infrastructure (BYOS - Bring Your Own Storage)
The Service is provided on a subscription basis with various pricing tiers. Features and limitations vary by plan. We reserve the right to modify, enhance, or discontinue any aspect of the Service at our sole discretion with or without notice.
3. Account Registration
To use certain features of our service, you must register for an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Maintain the security of your password
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized use
4. Acceptable Use
You agree to use our Service in compliance with all applicable laws and regulations. You expressly agree NOT to:
4.1 Prohibited Content
- Upload, share, or distribute any illegal, fraudulent, defamatory, or harmful content
- Share content that infringes intellectual property rights, copyrights, trademarks, or patents
- Distribute malware, viruses, ransomware, or any malicious code
- Share content containing child sexual abuse material (CSAM) or exploitation content
- Distribute content that promotes terrorism, violence, hate speech, or discrimination
- Share personally identifiable information (PII) without proper authorization
- Violate export control laws or share restricted technical data
4.2 Prohibited Activities
- Attempt to gain unauthorized access to other users' accounts, documents, or data
- Interfere with, disrupt, or overload our Service or servers
- Use automated bots, scrapers, or scripts to access the Service
- Reverse engineer, decompile, or attempt to extract source code
- Circumvent security measures, rate limits, or access controls
- Engage in denial-of-service attacks or network flooding
- Impersonate another person or entity
- Collect user information for spam or unauthorized marketing
- Resell or redistribute the Service without written authorization
- Use the Service for cryptocurrency mining or similar resource-intensive activities
4.3 Compliance Requirements
You are solely responsible for ensuring your use of ShareDoc complies with:
- HIPAA (if sharing protected health information)
- GDPR (if processing EU personal data)
- CCPA and other privacy regulations
- Industry-specific regulations (FINRA, SEC, etc.)
- Export control laws (ITAR, EAR)
- Attorney-client privilege and legal professional obligations
Violation of these acceptable use provisions may result in immediate account suspension or termination without refund, and we may report violations to law enforcement authorities.
5. Content Ownership and Rights
5.1 Your Content
You retain all rights to the content you upload to ShareDoc. By uploading content, you grant us a limited license to store, process, and display your content solely to provide our services.
5.2 ShareDoc Content
All rights, title, and interest in ShareDoc's platform, including software, designs, and trademarks, belong to ShareDoc and are protected by intellectual property laws.
6. Payment Terms
For paid subscriptions:
- Fees are charged in advance on a monthly or annual basis
- All fees are non-refundable except as required by law
- We may change our pricing with 30 days' notice
- You authorize us to charge your payment method automatically
- Failure to pay may result in suspension or termination
7. Data and Privacy
Your use of ShareDoc is also governed by our Privacy Policy. We implement industry-standard security measures to protect your data, but we cannot guarantee absolute security.
8. Service Availability
We strive to provide reliable service, but we do not guarantee uninterrupted or error-free service. We may modify, suspend, or discontinue any aspect of our service at any time.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
9.1 Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
9.2 No Liability for Damages
IN NO EVENT SHALL SHAREDOC, KARMAN ANALYTICS PVT LTD, OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, business opportunities, or goodwill
- Loss of data or inability to access data
- Business interruption or operational delays
- Cost of substitute services or technology
- Security breaches or unauthorized access to your content
- Errors, bugs, or service outages
- Third-party actions or integrations
- Damages arising from your reliance on the service
This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and whether or not we were advised of the possibility of such damages.
9.3 Maximum Aggregate Liability
OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.
9.4 No Liability for Content
WE ARE NOT LIABLE FOR THE CONTENT YOU OR OTHERS UPLOAD, SHARE, OR ACCESS THROUGH THE SERVICE. YOU ACKNOWLEDGE THAT WE DO NOT PRE-SCREEN, MONITOR, OR CONTROL USER CONTENT. WE ARE A PLATFORM PROVIDER, NOT A CONTENT PUBLISHER.
9.5 No Liability for BYOS
FOR CUSTOMERS USING BRING YOUR OWN STORAGE (BYOS), WE ARE NOT LIABLE FOR: (A) DATA LOSS OR CORRUPTION IN YOUR STORAGE INFRASTRUCTURE, (B) STORAGE PROVIDER OUTAGES OR FAILURES, (C) MISCONFIGURATIONS OF YOUR STORAGE SETTINGS, OR (D) UNAUTHORIZED ACCESS RESULTING FROM YOUR SECURITY PRACTICES.
9.6 Service Availability
We do not guarantee uninterrupted, timely, secure, or error-free service. We may experience downtime for maintenance, updates, or unforeseen technical issues. We are not liable for any damages resulting from service unavailability.
9.7 Jurisdictional Limitations
Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.
10. Indemnification
10.1 Your Indemnification Obligations
You agree to indemnify, defend, and hold harmless ShareDoc, Karman Analytics Pvt Ltd, and our affiliates, officers, directors, employees, agents, licensors, suppliers, and partners from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to:
- Your Content: Any content you upload, share, distribute, or make available through the Service, including claims of copyright infringement, trade secret misappropriation, defamation, privacy violations, or other intellectual property claims
- Your Use of the Service: Your access to or use of the Service, including any misuse, unauthorized use, or violation of these Terms
- Violation of Laws: Your violation of any applicable laws, regulations, or third-party rights, including HIPAA, GDPR, CCPA, export controls, securities laws, or professional conduct rules
- Third-Party Claims: Claims by third parties who received documents or information from you through the Service
- Security Incidents: Unauthorized access to your account resulting from your failure to maintain account security, weak passwords, or sharing credentials
- BYOS Issues: For BYOS customers, any claims arising from your storage infrastructure, configuration, encryption key management, or data handling practices
- Recipient Harm: Any harm caused to document recipients, including claims related to watermarking, access restrictions, or tracking
- Data Breaches: Breaches resulting from your actions, negligence, or failure to follow security best practices
- Compliance Failures: Your failure to comply with industry regulations or professional obligations when using the Service
- Employee or Contractor Actions: Actions of your employees, contractors, or team members who access the Service under your account
10.2 Defense and Settlement
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate fully with our defense of such claims. You may not settle any claim without our prior written consent.
10.3 Notification
We will notify you promptly of any claim for which we seek indemnification. However, our failure to provide timely notice does not relieve you of your indemnification obligations except to the extent you are materially prejudiced by such failure.
10.4 Survival
Your indemnification obligations survive the termination or expiration of these Terms and your use of the Service.
11. Termination
11.1 Termination by You
You may terminate your account at any time through your account settings or by contacting support. Termination does not relieve you of any payment obligations for services already rendered or fees already incurred.
11.2 Termination by ShareDoc
We reserve the right to suspend or terminate your account immediately, without notice or liability, for any reason, including but not limited to:
- Violation of these Terms of Service or our Acceptable Use Policy
- Non-payment of fees or fraudulent payment activity
- Suspected illegal activity or security threats
- Excessive use that impacts service performance for other users
- Repeated complaints from document recipients
- Inactivity for an extended period
- Court order or legal requirement
- Our business decision to discontinue service
11.3 Effect of Termination
Upon termination:
- Your right to access and use the Service immediately ceases
- All shared document links may become inactive
- We may delete your account data and content after a reasonable grace period
- You remain liable for all fees incurred prior to termination
- Provisions related to indemnification, limitation of liability, and dispute resolution survive termination
11.4 Data Retrieval
You are responsible for exporting your data before termination. We provide data export tools, but we are not obligated to retain your data after account termination. For BYOS customers, your documents remain in your infrastructure.
11.5 No Refunds
Fees paid are non-refundable, including in the event of termination by us for cause. We do not provide pro-rated refunds for partial subscription periods.
12. Governing Law and Dispute Resolution
12.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.
12.2 Jurisdiction and Venue
You agree that any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the courts located in Bangalore, Karnataka, India. You irrevocably consent to the jurisdiction and venue of such courts and waive any objection to such jurisdiction or venue.
12.3 Arbitration Agreement
For disputes where the amount in controversy exceeds $10,000 USD, the parties agree to resolve disputes through binding arbitration administered by the Indian Council of Arbitration or a mutually agreed arbitration body. The arbitration shall be conducted in English in Bangalore, India. Each party shall bear its own costs and attorneys' fees.
12.4 Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
12.5 Time Limitation
Any claim or cause of action arising out of or related to your use of the Service must be filed within one (1) year after such claim or cause of action arose, or it shall be forever barred.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through our service. Continued use of the service after changes constitutes acceptance of the new Terms.
14. User Responsibilities and Warranties
By using the Service, you represent and warrant that:
- You have the legal authority to enter into these Terms
- You own or have the necessary rights to all content you upload
- Your use of the Service complies with all applicable laws and regulations
- You will not use the Service for any unauthorized or illegal purpose
- You have obtained all necessary consents for sharing personal data through the Service
- Your content does not violate any third-party intellectual property rights
- You will maintain accurate and current account information
- You will implement reasonable security measures for your account
15. Third-Party Services and Integrations
The Service may integrate with third-party services (Slack, Salesforce, Google Drive, etc.). Your use of such integrations is subject to the third party's terms and privacy policies. We are not responsible for:
- The availability, functionality, or performance of third-party services
- Data loss or security breaches caused by third-party services
- Compliance failures related to third-party handling of your data
- Changes to third-party APIs or terms that affect integration functionality
- Costs or fees charged by third-party services
16. Export Control and Sanctions Compliance
The Service may be subject to export control laws and regulations, including those of India, the United States, and the European Union. You agree not to:
- Use the Service to share or export technical data subject to export restrictions (ITAR, EAR)
- Access the Service from countries subject to economic sanctions
- Share documents with individuals or entities on sanctions lists (OFAC, UN, EU)
- Use the Service in violation of any export control or sanctions regulations
17. Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, pandemics, network infrastructure failures, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
18. Entire Agreement and Severability
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and ShareDoc regarding the Service. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect.
19. No Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.
20. Assignment
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets. Any attempted assignment in violation of this provision is void.
